1. Introduction

This Risk Disclosure provides important information regarding the financial, technological, operational, legal, and other risks associated with accessing and using VortexA (the "Platform"), operated by Avenora Lab Ltd (the "Company", "VortexA", "we", "us", or "our").

VortexA provides blockchain-based services, including decentralized finance (DeFi) functionality, digital asset management, arbitrage-related operations, smart contract interactions, and other services made available through the Platform.

Participation in digital asset activities involves substantial risk, including the potential loss of some or all deposited assets.

Users are strongly encouraged to read this Risk Disclosure and the applicable Terms of Service before connecting their wallets, depositing digital assets, or participating in any Platform activities.

2. Nature of Platform Services

VortexA operates a blockchain-based platform that may provide:

  • Web3 wallet connectivity and account management.
  • Digital asset deposits through designated smart contracts.
  • Blockchain market analytics and arbitrage-related services.
  • Automated or Company-managed digital asset operations.
  • Account dashboards, transaction information, and related functionality.
  • Additional blockchain-related services introduced from time to time.

Certain services may involve Company-controlled smart contracts, administrative permissions, and operational management of deposited digital assets.

VortexA should not be understood as a fully decentralized or exclusively non-custodial platform.

The availability of individual services may vary, and features under development are not necessarily available for use.

3. Digital Asset and Market Risks

Digital assets are highly volatile and may experience substantial price fluctuations.

Their value may be influenced by market conditions, liquidity, regulatory developments, technological changes, cybersecurity incidents, and other factors beyond the Company's control.

Users acknowledge that:

  • Digital asset values may rise or fall significantly.
  • Market liquidity may become limited or unavailable.
  • Transactions may execute at prices different from those anticipated.
  • Digital assets may lose substantially all their value.
  • Historical performance does not guarantee future results.
  • Users may lose part or all of their deposited digital assets.

Users should only commit assets they can afford to lose.

4. No Guaranteed Returns or Capital Protection

VortexA does not guarantee profits, fixed returns, minimum earnings, or preservation of deposited capital.

Any estimated returns, projected performance, market opportunities, or historical results displayed on the Platform are provided for informational purposes and should not be interpreted as guarantees.

Actual results may vary due to market volatility, liquidity conditions, transaction fees, trading execution, technical failures, and other factors.

Even where an arbitrage opportunity appears profitable, actual execution may result in lower returns or financial losses.

No strategy, automated system, smart contract, or blockchain technology can eliminate investment risk.

5. Smart Contract Deposits and Company Control

VortexA allows users to deposit supported digital assets into designated blockchain smart contracts for participation in Platform services.

Following a deposit, the assets become subject to the operational and administrative controls established under the applicable smart contracts and Platform arrangements.

Users expressly acknowledge that:

  • VortexA and its authorized representatives possess permissions to transfer, freeze, restrict, or reallocate deposited digital assets.
  • The Company may exercise these permissions for authorized Platform operations, trading activities, asset management, security measures, risk management, and other purposes permitted under the applicable Terms of Service.
  • Deposited assets do not remain under the user's exclusive wallet control.
  • Users cannot independently withdraw deposited assets without Company authorization under the current withdrawal model.
  • Administrative control introduces risks, including unauthorized transfers, misuse of permissions, compromised administrative credentials, operational failures, and improper restrictions.
  • Smart contract deployment does not guarantee that deposited assets are protected against loss, theft, or technical failure.

Users should understand these arrangements before depositing assets into the Platform.

6. Customer Asset Segregation and Reuse

VortexA maintains arrangements intended to segregate customer digital assets from Company-owned assets.

However, asset segregation does not mean that deposited assets remain unused, individually reserved, or continuously available for withdrawal.

Subject to the applicable Terms of Service and Platform arrangements, the Company may deploy, transfer, use, or reallocate deposited digital assets for authorized operational activities, including arbitrage-related transactions.

Users acknowledge that:

  • Customer assets may be deployed in blockchain transactions, smart contracts, liquidity pools, decentralized exchanges, or other authorized Platform operations.
  • Asset deployment may expose customer funds to trading losses, liquidity shortages, smart contract vulnerabilities, and operational risks.
  • Losses arising from authorized Platform activities may affect the assets available to satisfy withdrawal requests.
  • Asset segregation does not guarantee preservation of asset value or eliminate cybersecurity, liquidity, operational, counterparty, or insolvency risks.
  • Assets used in Platform operations may not always be immediately available for withdrawal.

The legal ownership, accounting treatment, segregation arrangements, and rights associated with deposited assets are subject to the applicable contractual arrangements and law.

7. Company-Controlled Operations and Custodial Risks

Certain VortexA operations are administered through Company-controlled infrastructure, smart contract permissions, operational systems, and authorized personnel.

These arrangements introduce risks including:

  • Unauthorized access to administrative systems.
  • Compromise or loss of administrative private keys.
  • Improper or unauthorized asset transfers.
  • Operational or human errors.
  • Internal misconduct or misuse of authority.
  • Failures of security and access-control systems.
  • Technical outages or infrastructure failures.
  • Company insolvency or operational disruption.

The Company is responsible for maintaining appropriate security and operational controls consistent with its activities and applicable legal obligations.

Nevertheless, no system or operational arrangement can guarantee complete protection against every potential loss.

8. Smart Contract and Blockchain Risks

Smart contracts and blockchain networks may contain vulnerabilities, defects, or unexpected behavior.

Potential risks include:

  • Smart contract programming errors.
  • Unauthorized contract interactions.
  • Exploits or malicious transactions.
  • Blockchain congestion or network outages.
  • Consensus failures and blockchain reorganizations.
  • Oracle failures or manipulated market data.
  • Compromised administrative credentials.
  • Contract upgrade or configuration risks.
  • Failures involving external protocols or services.

Smart contract audits, security reviews, or technical testing, where conducted, do not guarantee that a contract is free from vulnerabilities.

Blockchain transactions are generally irreversible, and assets lost through technical failures, unauthorized transactions, or exploits may not be recoverable.

9. Arbitrage and Automated Trading Risks

VortexA may conduct or facilitate arbitrage-related activities involving digital assets, decentralized exchanges, liquidity pools, smart contracts, and blockchain networks.

Arbitrage involves attempting to benefit from price differences across markets or trading environments.

Such activities involve significant financial and execution risks, including:

  • Rapid changes in market prices.
  • Slippage and insufficient liquidity.
  • Gas fees and transaction costs.
  • Failed or reverted transactions.
  • Front-running and maximal extractable value (MEV).
  • Smart contract vulnerabilities.
  • Decentralized exchange failures.
  • Flash-loan execution risks, where applicable.
  • Competition from automated trading systems.
  • Unexpected losses during transaction execution.

The identification of an arbitrage opportunity does not guarantee successful execution or profitability.

Automated execution and analytical technologies do not eliminate market or operational risks.

10. Deposits, Withdrawals, and Company Authorization

Users may deposit supported digital assets into designated VortexA smart contracts according to the applicable Platform procedures.

Withdrawals require Company authorization.

Users acknowledge and understand that:

  • Depositing digital assets does not guarantee immediate or unrestricted withdrawal availability.
  • Withdrawal requests are subject to authorization by the Company in accordance with the applicable withdrawal terms and procedures.
  • Withdrawals may be affected by liquidity availability, ongoing Platform operations, blockchain network conditions, security reviews, and applicable legal requirements.
  • Withdrawals may be delayed, restricted, or suspended under circumstances permitted by the Terms of Service and applicable law.
  • Deposited assets may be actively deployed in Platform operations and may not always be immediately available for withdrawal.
  • Network fees, applicable Platform charges, and other transaction costs may affect the amount received.

The applicable withdrawal eligibility requirements, processing procedures, fees, and material restrictions should be reviewed before depositing assets.

The Company does not guarantee immediate withdrawal processing or uninterrupted withdrawal availability.

11. Wallet Connection and User Responsibilities

VortexA supports connections with compatible Web3 wallets.

Users are responsible for safeguarding their wallet credentials, recovery phrases, private keys, and devices.

Users should:

  • Access the Platform through verified official domains.
  • Never disclose wallet recovery phrases or private keys.
  • Carefully review wallet requests and blockchain transactions.
  • Protect their devices against malware and unauthorized access.
  • Verify destination wallet addresses before initiating transfers.
  • Remain alert to phishing, impersonation, and fraudulent communications.

VortexA does not require users to provide their private keys or wallet recovery phrases to access the Platform.

Connecting a wallet does not itself guarantee that the connected application, smart contract, or transaction is secure.

12. Stablecoin and Digital Asset Risks

Stablecoins and other digital assets may be exposed to issuer, reserve, redemption, liquidity, market, technological, and regulatory risks.

A stablecoin may lose its intended reference value, become temporarily illiquid, or become unavailable for redemption.

The Company does not guarantee the stability, redeemability, or continued availability of third-party digital assets.

13. Third-Party Services and Infrastructure

VortexA may rely on third-party blockchain networks, decentralized exchanges, liquidity providers, wallet services, RPC providers, hosting infrastructure, and other technology providers.

These services may experience interruptions, technical failures, security incidents, service discontinuation, or operational restrictions.

Such events may affect Platform functionality, transaction execution, asset availability, or withdrawal processing.

Reliance on third-party infrastructure does not remove responsibilities imposed on the Company by applicable law.

14. Cybersecurity Risks

Digital asset platforms are exposed to cybersecurity threats, including:

  • Phishing and impersonation attacks.
  • Wallet compromise.
  • Malware and malicious software.
  • Unauthorized system access.
  • Smart contract exploits.
  • Compromised infrastructure.
  • Insider misconduct.
  • Data breaches.
  • Distributed denial-of-service attacks.
  • Operational outages.

Although the Company may implement security measures, no online platform, blockchain system, or digital asset arrangement can be guaranteed to be completely secure.

Security incidents may result in financial loss, operational disruption, or temporary unavailability of Platform services.

15. Regulatory and Legal Risks

Digital assets, decentralized finance, smart contract services, and investment-related activities may be subject to different legal and regulatory requirements across jurisdictions.

Regulatory requirements may change over time and may affect the availability or operation of certain Platform services.

Avenora Lab Ltd is incorporated in Nevis, Saint Kitts and Nevis.

Corporate incorporation does not, by itself, establish financial regulatory authorization in any jurisdiction.

Users are responsible for understanding applicable laws and tax obligations relevant to their circumstances.

The Company remains responsible for complying with licensing, registration, anti-money laundering, sanctions, consumer protection, and other legal requirements applicable to its activities.

Certain services may be restricted or unavailable in particular jurisdictions.

16. Conflicts of Interest

The Company may perform multiple functions relating to Platform operations, smart contract administration, asset deployment, trading activities, and operational management.

These arrangements may create actual or potential conflicts of interest.

Material conflicts may arise from:

  • Company control over deposited assets.
  • Decisions regarding asset deployment or reallocation.
  • Trading and operational arrangements.
  • Platform fees or other commercial interests.
  • Transactions involving affiliated entities.

The Company should identify, manage, and disclose material conflicts as required by applicable law and contractual obligations.

Users should not assume that the Company's commercial interests are always identical to their own.

17. Fees and Transaction Costs

Digital asset transactions and Platform activities may involve network fees, trading fees, slippage, withdrawal charges, and other costs.

Such costs may reduce returns or contribute to financial losses.

Applicable fees and material transaction costs should be disclosed in the relevant Platform documentation before users commit assets or authorize transactions.

18. No Personalized Financial Advice

Unless expressly stated otherwise under an applicable authorized service arrangement, information provided through VortexA is not personalized financial, investment, legal, or tax advice.

Platform information may not account for individual financial circumstances, investment objectives, experience, or risk tolerance.

Users should obtain independent professional advice where appropriate.

19. Limitation of Liability

The rights, obligations, and allocation of liability between users and the Company are governed by the applicable Terms of Service and mandatory law.

Nothing in this Risk Disclosure excludes or limits liability that cannot lawfully be excluded or limited.

Acknowledgement of risks does not automatically release the Company from responsibility for negligence, misconduct, breach of contract, breach of statutory duty, or other liability where applicable law provides otherwise.

20. Changes to Platform Services

The Company may modify Platform functionality, supported digital assets, smart contracts, operating procedures, or service arrangements.

Material changes affecting asset control, withdrawal conditions, user rights, fees, or significant risks should be communicated in accordance with applicable law and the Terms of Service.

Users should review relevant notices and updated documentation before continuing to use materially changed services.

21. User Acknowledgement and Acceptance

Before depositing digital assets or participating in applicable Platform services, users should carefully review this Risk Disclosure and the Terms of Service.

Where required, users must expressly acknowledge the applicable risks and terms before proceeding.

By providing such acknowledgement, users confirm that they understand:

  • Digital asset activities involve substantial financial risk.
  • Deposited assets may be subject to Company-controlled operations.
  • The Company may transfer, freeze, restrict, or reallocate deposited assets under applicable Platform arrangements.
  • Withdrawals require Company authorization.
  • Deposited assets may be deployed in operational activities and exposed to financial or technical losses.
  • Returns and capital preservation are not guaranteed.
  • Partial or complete loss of deposited assets is possible.

Acknowledgement of these risks does not waive rights or protections that cannot lawfully be waived.

22. Updates to This Disclosure

This Risk Disclosure may be updated to reflect changes in Platform functionality, operating arrangements, applicable laws, or material risks.

The latest version and effective date will be made available through official VortexA channels.

Material amendments will be communicated where required by applicable law or the Terms of Service.

Important Risk Warning

Digital assets and DeFi activities involve substantial financial, technical, and operational risks.

Funds deposited into VortexA smart contracts are subject to Company-controlled operations, may be used in Platform activities, and require Company authorization for withdrawal.
